All the companies registered in the Securities Exchange Commission (SEC), which is the registry of foreign securities that are quoted and traded in the United States, are obliged to comply with the terms of the Sarbanes-Oxley Act of July 2002.  Section 301 of this law requires companies to set up venues to receive complaints or communications in a confidential manner, concerning bad practices in accounting, control, or internal auditing.

The Company already has regulations and codes of ethics in place, that require all staff to act with integrity in all their dealings with stakeholders: shareholders, employees, suppliers, clients, creditors, and authorities; this is the ethical foundation that orients our social responsibility.

Consequently, and with a view to complying with the corresponding regulations and serve all its stakeholders in the best possible way, the Company has set up an ethics mailbox to allow all these parties to report any unethical or inappropriate conduct in accounting, control, internal auditing, or other matters.

The procedures set up by the Company guarantee confidentiality, because they are administered by an external company – Ethicspoint – which has long-standing expertise in this area. This external company will forward complaints or communications to the corresponding party, and guarantee absolute anonymity.

ithout prejudice of the above, when using these available procedures it must be borne in mind that false accusations or accusations which are knowingly inaccurate, may result in criminal or civil charges, as specified in Law.
